1. Acceptance of Terms

By accessing verslasguru.com or engaging any service provided by Verslas Solutions Pvt. Ltd. ("Verslas Guru", "we", "us", "our"), you ("Client", "you") agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.

These Terms constitute a binding agreement between you and Verslas Solutions Pvt. Ltd., a company incorporated under the Companies Act, 2013 (CIN: U74999DL2019PTC352245).

2. Description of Services

Verslas Guru provides business facilitation services including but not limited to:

• Company and LLP registration assistance
• GST registration and return filing
• Trademark, copyright, and patent filing assistance
• Annual compliance management
• Legal document drafting
• Tax filing assistance

Important: Verslas Guru is a technology-enabled facilitation platform. We are not a law firm, accounting firm, or regulated financial advisor. Our services assist in the preparation and submission of documents to relevant government authorities. Any advice provided is general in nature and should not be construed as legal, financial, or tax advice specific to your situation.

3. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding contract under Indian law to use our services. By using our services, you represent that you meet these requirements.

4. Fees & Payment

• All fees are displayed in Indian Rupees (INR) and are exclusive of government fees (MCA filing fees, stamp duty, etc.) unless explicitly stated otherwise.
• Government fees are charged at actual cost and may vary based on authorised capital, state, or regulatory changes.
• Payment is required before commencement of services unless a credit arrangement has been agreed in writing.
• Fees are subject to GST at the applicable rate (currently 18%).
• We reserve the right to revise our fees. Changes will not affect services already paid for.

5. Client Obligations

You agree to:

• Provide accurate, complete, and up-to-date information and documents as requested.
• Promptly respond to our requests for additional information or clarification.
• Not provide fraudulent, forged, or misleading documents.
• Ensure that all directors, partners, or shareholders whose information is submitted have provided informed consent.
• Not use our services for any illegal purpose.

We reserve the right to suspend or terminate services without refund if we discover that false or fraudulent information has been provided.

6. Our Obligations

• We will use reasonable skill and care in providing our services.
• We will keep your information confidential as described in our Privacy Policy.
• We will inform you of material developments regarding your application.
• We will not guarantee approval of any government application — final decisions rest with the relevant authority.

7. Timeline & Delays

Indicative timelines provided are estimates based on standard government processing times. Actual timelines may vary due to:

• Government processing backlogs or system downtime
• Requests for additional documents from government authorities
• Delays in client providing required documents or information
• Changes in government procedures or portal availability

We are not liable for delays caused by government authorities or circumstances beyond our control.

8. Intellectual Property

All content on verslasguru.com — including text, graphics, logos, and software — is the property of Verslas Solutions Pvt. Ltd. and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

9. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the engagement. Our confidentiality obligations are detailed in our Privacy Policy. We will not disclose your information to third parties except as necessary to provide services or as required by law.

10. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability to you for any claim arising out of or related to our services shall not exceed the fees paid by you for the specific service giving rise to the claim.
• We are not liable for indirect, incidental, consequential, or punitive damages.
• We are not liable for losses arising from government rejection of applications, changes in law, or circumstances beyond our control.
• We are not liable for losses arising from inaccurate information provided by you.

11. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in New Delhi, India.

12. Dispute Resolution

In the event of a dispute, you agree to first attempt resolution through good-faith negotiation by contacting us at connect@verslasguru.com. If negotiation fails within 30 days, disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted with a revised date. Continued use of our services after changes constitutes acceptance of the revised Terms.
